1. Agreement
These terms govern your use of the website at milasourcing.com ("Site") and the services offered under the "Mila Sourcing" brand. The operating entity is Mila Sourcing OÜ, a private limited company registered in Estonia under registry code 17403363, with its registered office at Keevise tn 3, Lasnamäe linnaosa, Tallinn 11415, Estonia ("we", "us", "our"). By using the Site or engaging our services you agree to these terms.
2. Services
Mila Sourcing offers three principal services: Sourcing Activation (one-off agent matching and factory quotes), Supply Chain Strategy Call (paid consultation), and Full Production Management (end-to-end production coordination including contract drafting, factory audits, quality control, and logistics). Specific deliverables, timelines, and fees for each engagement are confirmed in writing before work begins.
3. Fees and payment
Fees are quoted in euros (EUR) and exclude applicable VAT. Sourcing Activation and Strategy Call fees are payable in advance. Full Production Management fees are typically split across project milestones agreed at contract signing. Factory invoices are paid by you directly to the factory; we do not collect funds on behalf of suppliers.
4. Your responsibilities
- Provide accurate product specifications, target prices, and volumes.
- Hold valid rights to any designs, trademarks, or IP you share with us.
- Comply with applicable import laws, certifications, and customs requirements in your jurisdiction.
- Pay factory invoices and our fees on time.
5. Our responsibilities
- Match you with verified sourcing agents from our network and disclose where conflicts of interest may exist.
- Draft bilingual NNN agreements through qualified Chinese counsel where Full Production Management is engaged.
- Conduct factory audits, sampling, and AQL inspections to the standards agreed at contract signing.
- Communicate transparently — flagging delays, risks, and defects as they arise.
6. Refunds and cancellations
Sourcing Activation and Strategy Call fees are non-refundable once work has commenced. Full Production Management cancellations are handled per the milestone schedule in your engagement contract — fees for completed work are non-refundable; fees for milestones not yet started are refunded less reasonable mobilisation costs.
7. Intellectual property
You retain all rights to your designs, specifications, and IP. We retain rights to our own templates, processes, and platform. You grant us a limited licence to use your specifications solely to deliver the agreed services. We will not share your specifications with parties other than factories and partners necessary to deliver your project.
8. Liability
Mila Sourcing's role is procurement coordination. We do not manufacture products. To the maximum extent permitted by Estonian law, our aggregate liability arising out of or in connection with the services is limited to the total fees you have paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or incidental damages, or for loss of profits, revenue, or data.
9. Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including pandemics, government restrictions, war, civil unrest, natural disasters, transport disruptions, or factory-level events outside our coordination.
10. Confidentiality
Each party agrees to keep confidential any non-public information shared by the other. This obligation survives termination of any engagement.
11. Governing law and disputes
These terms are governed by the laws of the Republic of Estonia. Any dispute arising under these terms shall be resolved in the courts of Harju County, Estonia, unless the parties agree to arbitration in writing.
12. Changes to these terms
We may update these terms. Material changes will be announced on this page with a revised "Last updated" date. Continued use of the Site or our services after the change constitutes acceptance of the revised terms.
